Held at Hexham Community Centre on Friday December 12th 2025 at 6 p.m.

  1. Minutes of previous AGM

Held on Saturday December 7th 2024 10.15 Hexham Community Centre. Minutes approved by members. Proposed by: Penny Hewart Seconded by: Stuart Page

  1. Director’s Report
  • Lowri Potts summarised sections of the Director’s report inviting questions and thanking all involved.
  • Lowri commented on the 15 page report packed with activities that reflect the range of skills and the devotion, time and effort from many different groups.
  • A special mention was given to the work of Prudhoe Space for Nature with its community garden. Advancing beyond Hexham into Tynedale is desirable.
  • Ideas for next year are to host talks about relevant topics that will inspire people to get involved. Particularly to support young people in the journey to careers in green industry. Report moved by Jane Kysow, seconded by Sue Roberts
  1. Financial Report

Financial report presented by Lowri in Sarah’s absence. Accepted and moved by Julie Barham, seconded by Penny Hewart. Conversation about exploring charitable status in order to strengthen the financial position is an agenda item.

  1. The confirmation or otherwise of the continuation of membership or retirement of those members of the Board of directors retiring under the rules in the company articles of association.
       5.1 Stepping down of Directors

In line with our current Articles of Association, Directors are required to step down after 3 years, and stand for re-election.  Lowri Potts is standing down and not standing for re-election. She was thanked for her extensive contribution, particularly to Governance and Safeguarding. She confirmed she would remain on the Steering Committee and working with Just Fix It.

5.2 Nomination of and voting for new directors

Julie Barham and Sarah Hallberg are prepared to stand again as Directors.

Helen Adamson was put forward as a new Director; proposed by Julie Barham seconded by Penny Hewart.

1.2 Appointment of treasurer and secretary

Penny Hewart is to replace Stuart Page as secretary. Proposed by Julie Barham and seconded by Jane Kyso. Thanks to Stuart for work as secretary.

Sarah Hallberg agreed to remain as treasurer

Matthew and Lowri continuing to manage the website.

1.      Resolutions
6.1 Proposed change to the constitution: that Directors will seek to change to charitable status

This resolution was discussed included the various options as a Charitable Incorporated Organisation or as a Company Limited by Guarantee with charitable status.

The resolution was proposed as follows: The Directors/Steering Group is to explore the options and bring any proposal to the members prior to a final decision being made. This could be before next AGM by newsletter, during an EGM or at the next AGM. All in favour.

1.2 Annual subscriptions to be paid by Dec 1st

It was suggested that subs would be due by Dec 1st each year, rather than at various dates across the year. As is currently the case, bank sort code and account number should not be on newsletter or in a public place, but when shared with potential members, the option to pay annually by standing order would be encouraged. All in favour.

1.2 To investigate the use of electronic payment system to collect donations in addition to cash

The possibility of acquiring an electronic card machine for gathering donations at events was discussed. All in favour of investigating further.

It was suggested that we look into local supermarket charity funding schemes e.g. Waitrose, Tesco, Co-op.
